Terms and Conditions

By accessing and using any services offered by ADORK (“we,” “our,” or “the Company”), including visiting our website, purchasing our services, or communicating with us, you agree to the following Terms and Conditions. Please read them carefully before proceeding. If you do not agree with any part of these terms, you should not use our services.

1. Services Provided

ADORK offers a wide range of technology and marketing services, including but not limited to:

  • Custom Software Development
  • Web Development and Design
  • Website Hosting and Fully Managed Server Solutions
  • Virtual Private Server (VPS) Setup and Management (including VPNs and high-performance environments)
  • Account Creation Services – (Partnered with another company)
  • Company Formation Consultancy – (Partnered with another company)
  • Digital Marketing (SEO, SEM, PPC, Social Media) – (Partnered with another company)
  • Content Writing and Copywriting – (Partnered with another company)
  • AI Tools and Automation Systems
  • Chatbot Integrations
  • Project Planning, Strategy, and Consulting

We reserve the right to expand, modify, or discontinue any services without prior notice.

2. Engagement Process

All client engagements begin with a discovery and proposal phase. This includes:

  • A detailed project proposal outlining the scope, deliverables, timeline, and cost
  • Written acceptance or signed contract before initiation
  • Optional NDAs for confidential projects

3. Payment Terms

General:

  • All invoices are due upon receipt unless stated otherwise
  • Late payments will incur a 5% fee per week of delay

Managed Hosting, VPS, and Cloud Services:

  • Invoices due within 3 days of issuance
  • Suspension after 3 days of non-payment
  • Termination and data deletion after 30 days of non-payment
  • Recovery fee applicable post-suspension

Software & Web Development:

  • Project initiation requires 30% upfront payment
  • Milestone-based payments must be made as per contract
  • Final payment is due prior to deployment or handover

Marketing, Content, and Copywriting:

  • Billed monthly
  • Payment due within 7 days of invoice
  • Suspension of services upon non-payment

4. Client Responsibilities

  • Provide timely access to content, credentials, and platforms
  • Respond to inquiries within 48 hours to avoid timeline delays
  • Review and approve deliverables in a timely manner
  • Maintain a backup of their own data unless agreed otherwise

5. Confidentiality & Data Protection

Both parties agree to:

  • Protect confidential information shared during collaboration
  • Use any proprietary information solely for the purposes of the engagement
  • Not disclose or share any data without prior written consent

We adhere to global privacy standards and secure client data in line with GDPR and applicable laws.

6. Intellectual Property

  • All deliverables remain the property of ADORK until final payment is received
  • Upon payment, rights are transferred to the client, except for:
    • Reusable components (frameworks, internal libraries)
    • Third-party tools under separate licenses

Clients may not reuse or resell ADORK’s proprietary tools without written approval.

7. Amendments and Revisions

We may revise these Terms at any time. Continued use of our services constitutes acceptance of any new terms. Notification will be given through:

  • Email updates
  • Website notice
  • Client dashboard (if applicable)

8. Limitation of Liability

ADORK is not liable for:

  • Indirect, incidental, or consequential damages
  • Service disruptions beyond our control
  • Client-side misuse, security breaches, or third-party code integrations

Our maximum liability shall not exceed the total amount paid by the client in the last 3 months.

9. Cancellation and Termination

  • Contracts may be terminated with 1 quarter’s written notice
  • Migration charges apply for premature termination
  • Domains transferred post-90 days of renewal as per ICANN policy
  • Service-specific terms may override general terms

10. Security & Access

  • Clients must maintain the security of login credentials
  • Backend access is restricted for managed services unless otherwise agreed
  • ADORK is not liable for damages caused due to unauthorized client access

11. Service Levels and Support

  • 99.9% uptime guaranteed for hosting plans
  • 24/7 monitoring on managed services
  • Support requests typically responded to within 6 business hours

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which ADORK is registered. Disputes shall be resolved through:

  1. Good-faith negotiations
  2. Mediation
  3. Legal action only as a last resort in the relevant court
